Snaarp Terms and Conditions

1. Introduction

These Terms and Conditions ("Agreement") are a legally binding agreement between you ("Customer" or "User") and Snaarp, governing your access to and use of our products, services, websites, and applications ("Services"). By using our Services, you agree to be bound by this Agreement. If you do not agree, please do not use our Services.

2. Access to the Services

  • -Services: All products and services provided by Snaarp, including applications, websites, and technologies.
  • -Customer Data: All data, files, and content uploaded or shared through the Services by the Customer.
  • -Subscription Plan: The specific level of Services purchased by the Customer, including details about pricing, duration, and features.
  • -Administrator: A User designated by the Customer to manage the Services on behalf of the Customer.

We reserve the right to evaluate the provided registration data at any time.

3. License to Use Services

Snaarp grants the Customer a non-exclusive, non-transferable, revocable license to use the Services in accordance with this Agreement. This license does not include any rights to sublicense or resell the Services.

4. Customer Responsibilities

You are prohibited from:

  • -Account Security: Customers are responsible for maintaining the confidentiality of their account credentials. Snaarp is not liable for any unauthorised access to your account due to your failure to secure your credentials.
  • -Compliance: You must use the Services in compliance with all applicable laws and regulations.
  • -Acceptable Use: The Services may not be used for any unlawful, infringing, or abusive purposes, as outlined in our Acceptable Use Policy.

5. Services and Changes

  • -Service Updates: Snaarp may update or modify the Services from time to time to enhance security, improve performance, or add new features. Customers will be notified if these changes significantly impact functionality.
  • -Service Changes: If Snaarp changes the Services in a manner that reduces functionality, the Customer may terminate this Agreement within 30 days and receive a pro-rata refund.

6. Fees and Payments

  • -Subscription Fees: The Customer shall pay all applicable subscription fees as specified in the Order Form or Subscription Plan. Payments are non-refundable unless otherwise specified by law.
  • -Billing: Payment is due in advance of each billing cycle. The Customer is responsible for ensuring accurate and current payment information is provided.
  • -Taxes: All fees are exclusive of taxes. The Customer is responsible for paying all applicable taxes.

7. Data Security and Processing

  • -Data Security: Snaarp uses encryption and other security measures to protect Customer Data. However, Customers are responsible for securing access to their devices.
  • -Data Processing: Snaarp processes Customer Data in accordance with our Privacy Policy. Customer Data is encrypted, and Snaarp cannot decrypt it without the Customer’s consent.

8. Intellectual Property Rights

  • -Snaarp IP: All intellectual property rights related to the Services belong to Snaarp or its licensors. No rights are granted to the Customer beyond those expressly set out in this Agreement.
  • -Customer Data: The Customer retains ownership of all Customer Data and grants Snaarp a limited license to use such data for providing the Services.

9. Term and Termination

  • -Term: This Agreement shall be effective upon acceptance and will continue until terminated by either Party.
  • -Termination for Cause: Either Party may terminate this Agreement upon material breach by the other Party if the breach is not cured within 30 days.
  • -Termination for Convenience: The Customer may terminate their subscription at any time by providing written notice. No refunds will be provided for any unused subscription period.
  • -Effects of Termination: Upon termination, Customer access to the Services will be revoked, and Snaarp may delete Customer Data after a reasonable period, in accordance with our Privacy Policy.

10. Confidentiality

Each Party agrees to maintain the confidentiality of all confidential information shared by the other Party. This obligation continues even after termination of this Agreement.

11. Limitation of Liability

To the maximum extent permitted by law:

  • -No Consequential Damages: Snaarp shall not be liable for any indirect, incidental, special, or consequential damages arising out of the use of the Services.
  • -Liability Cap: Snaarp's total liability to the Customer shall not exceed the fees paid by the Customer for the Services in the 12 months preceding the event giving rise to liability.

12. Indemnification

The Customer agrees to indemnify and hold harmless Snaarp from any claims, damages, or liabilities arising from the Customer’s use of the Services or violation of this Agreement.

13. Dispute Resolution

  • -Governing Law: This Agreement is governed by the laws of the State of Delaware, without regard to its conflict of law principles.
  • -Arbitration: Any disputes arising out of or related to this Agreement will be resolved through binding arbitration in Delaware, in accordance with the rules of the American Arbitration Association.

14. Amendments

Snaarp may modify the terms of this Agreement by providing 30 days’ notice to the Customer. Continued use of the Services after the notice period constitutes acceptance of the updated term

15. Notices

All notices under this Agreement must be sent in writing to the addresses provided by the Parties. Notices to Snaarp should be sent to at [email protected]

16. Miscellaneous

  • -Assignment: The Customer may not assign or transfer this Agreement without Snaarp’s prior written consent.
  • -Severability: If any provision of this Agreement is deemed unenforceable, the remainder shall continue in full force and effect.
  • -Entire Agreement: This Agreement constitutes the entire understanding between the Parties regarding the subject matter herein and supersedes all prior agreements or understandings.
